Pursuant to a certain securities purchase agreement, dated May 4, 2026 (the “Agreement”), entered into by and among the Company and certain purchasers (the “Purchasers”), the Company agreed to sell an aggregate of up to $12.0 million of its Class A ordinary shares in the registered direct offering.
