(NASDAQ: ASTI) (“Ascent” or the “Company”), the leading U.S. innovator in the design and manufacture of featherweight, flexible, and durable CIGS thin-film photovoltaic (PV) solutions, today announced the pricing of a public offering of an aggregate of 1,000,000 shares of its common stock (or pre-funded warrants in lieu thereof) and warrants to purchase up to 1,000,000 shares of common stock (the “Warrants”), at a combined public offering price of $2.00 per share (or per pre-funded warrants in lieu thereof) and accompanying Warrant. The Warrants will have an exercise price of $2.00 per share, will be exercisable immediately upon issuance, and will expire on the five-year anniversary of the initial issuance date. The closing of the offering is expected to occur on or about June 30, 2025, subject to the satisfaction of customary closing conditions.

(the “Operating Partnership”), has closed its previously announced underwritten public offering of $150 million of its 8.875% guaranteed notes due 2029 with a re-offer yield of 7.039% (the “Notes”). The Notes are part of the same series as the Operating Partnership’s outstanding 8.875% guaranteed notes due 2029, $400 million of which were originally issued on April 12, 2024, for all purposes.
