The ordinary shares issuable upon exercise of the warrants are registered pursuant to an effective registration statement on Form S-1 (File No. 333-282932) and an effective resale registration statement on Form S-1 (No. 333-284873). The gross proceeds to the Company from the exercise of the warrants are expected to be approximately $1.8 million, prior to deducting placement agent fees and estimated offering expenses. The offering is expected to close on or about August 1, 2025, subject to satisfaction of customary closing conditions. The Company intends to use the net proceeds from the offering as working capital for general corporate purposes.
