Frøya, 5 June 2025: Reference is made to the stock exchange release from Kaldvík AS (the "Company") published on 4 June 2025 regarding a contemplated private placement to raise gross proceeds of the NOK equivalent of approximately EUR 46.2 million (the "Private Placement") by the issuance of new shares in the Company (the "Offer Shares"). The Company hereby announces that it has raised approximately NOK 532 million, equivalent to approximately EUR 46.2 million, in gross proceeds through a private placement of 38,011,050 new shares (the "New Shares") at a price per share of NOK 14 (the "Offer Price"). The Private Placement took place through an accelerated bookbuilding process managed by DNB Carnegie, a part of DNB Bank ASA ("DNB Carnegie") as Sole Global Coordinator and Joint Bookrunner and Arion Banki hf ("Arion") and Nordea Bank Abp, filial i Norge ("Nordea") as Joint Bookrunners for the Private Placement (jointly, the "Managers").

The Company previously filed a Form 12b-25 with the U.S. Securities and Exchange Commission on May 14, 2025, disclosing that it was unable to file the Form 10-Q within the prescribed time period without unreasonable effort or expense. The Nasdaq Letter provided that under Nasdaq rules, the Company has 60 calendar days to submit a plan to regain compliance with respect to the Delinquent Filing.

As stated therein, the Company has received confirmation of a new and improved bank financing package from its existing lenders, subject to the Company raising new equity.

NASHVILLE, Tenn., June 04, 2025 (GLOBE NEWSWIRE) -- Ryman Hospitality Properties, Inc. (NYSE: RHP) (the “Company”) announced today that its subsidiaries, RHP Hotel Properties, LP (the “Operating Partnership”) and RHP Finance Corporation (together with the Operating Partnership, the “Issuers”), completed the previously announced private placement of $625 million aggregate principal amount of 6.500% senior notes due 2033 (the “Notes”). The Notes are senior unsecured obligations of the Issuers and are guaranteed by the Company and its subsidiaries that guarantee the Operating Partnership’s existing credit facility, 4.750% senior unsecured notes due 2027, 7.250% senior unsecured notes due 2028, 4.500% senior unsecured notes due 2029 and 6.500% senior unsecured notes due 2032. The aggregate net proceeds from the sale of the Notes are expected to be approximately $614 million, after deducting the initial purchasers’ discounts and commissions and estimated offering expenses.
