The Recapitalization is the result of an extensive review process conducted by the Company's board of directors (the "Board"), which culminated in FLINT entering into a definitive recapitalization support agreement (the "Support Agreement") with its largest shareholder and primary lender, Canso Investment Counsel Ltd., in its capacity as portfolio manager for and on behalf of certain accounts that it manages ("Canso").
