(NYSE: ARR and ARR-PRC) (“ARMOUR” or the “Company”) today announced that it has priced an underwritten public offering of 18,500,000 shares of its common stock for total estimated gross proceeds of approximately $302,475,000 (or approximately $347,846,250 if the option to purchase additional shares is exercised in full). ARMOUR has granted the underwriters a 30-day option to purchase up to 2,775,000 additional shares of its common stock. Settlement of the offering is subject to customary closing conditions and is expected to occur on or about August 7, 2025.

The Florida-based company plans to raise $300 million by offering 30 million units at $10 per unit. Each unit consists of one share of Class A common stock and one-half of a warrant, with each whole warrant exercisable for one share of Class A common stock at $11.50 per share.
